Partner, Distributor & Agent Terms (summary)

Terms for banking, technology, referral, reseller and distribution partners, including commercials and conduct obligations.

  1. Appointment. Distributors/retailers/agents are independent contractors appointed on a non-exclusive basis to offer fintech services (AEPS, DMT, BBPS, recharge, travel, insurance premium collection, etc.) through the Platform, subject to KYC and Payment Partner approval.
  2. Wallet & funds. Services operate on a prepaid wallet; top-ups are made through approved channels only; wallet balances are not deposits and earn no interest.
  3. Commissions. Paid per the commission schedule communicated in the portal; subject to TDS/GST; may be revised with notice.
  4. Conduct. Agents must display fair charges to customers, never retain customer credentials or biometrics, follow AEPS/DMT limits, verify customer identity, maintain transaction receipts, and not misrepresent affiliation with banks or the Company.
  5. Compliance. Comply with PMLA, RBI/NPCI guidelines, UIDAI rules for Aadhaar/biometric use, IRCTC and insurer rules for travel/insurance, and this Acceptable Use Policy.
  6. Security. Protect device, login and biometric equipment; report loss immediately.
  7. Branding. Use only approved marketing material; white-label partners follow brand guidelines in their agreement.
  8. Suspension/termination. For breach, fraud, chargebacks, complaints, regulatory instruction or inactivity; wallet balances settled after adjustments.
  9. Liability & indemnity. Agents are liable for losses caused by their negligence, fraud or non-compliance.
  10. Governing law. India; arbitration and courts at Mumbai.

Common definitions used across policies:

  • "Company", "we", "us", "our" — Global eServe Technologies LLP, a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008 (LLPIN to be published), having its registered office at Flat No. 201, 2nd Floor, Plot 577, Triveni Apartment, N M Joshi Marg, Byculla (West), Mumbai – 400027, Maharashtra, India, operating the brand and platform SwifTrail.
  • "Platform" — the websites swiftrail.ai and swiftrail.in, dashboards, portals, mobile applications, APIs and related services.
  • "Merchant" / "Partner" / "Agent" — a business or individual who has entered into an agreement with the Company to use the Platform.
  • "End User" — a customer of a Merchant who makes a payment through the Platform.
  • "Payment Partners" — RBI-licensed Payment Aggregators, banks (including escrow, sponsor and card-issuing banks), NBFCs, IRDAI-registered insurers, authorised government-scheme channels, card networks, NPCI and other regulated entities through which payment and financial services are facilitated.
